This can have far-reaching implications for a company — from a competitive advantage and leadership standpoint, most especially — since boards can either fail to fulfil their fiduciary duties or reach their strategic potential.

In this article, we provide an overarching overview of governance training and discuss what directors and companies stand to gain from it. Finally, we discuss what to look for in these programmes.

WHAT IS BOARD GOVERNANCE TRAINING?

Governance training provides directors with a thorough understanding of their fiduciary duties of 1.) acting in good faith, and 2.) serving the best interests of the company. It can offer an in-depth look into directors’ roles and legal liabilities, the function of the board as a body, and enlighten directors on current issues and hot topics in the areas of corporate governance, risk management, audit and financial reporting, strategy, culture, board performance and dynamics.

Its purpose is to ensure that all members of the board are fully equipped to discharge their duties in an effective and efficient manner. Governance training programmes help directors acquire the skills and confidence to maximise their contributions to the board.

4 KEY REASONS WHY BOARD GOVERNANCE TRAINING IS IMPORTANT FOR DIRECTORS AND COMPANIES

1.) It places all board members on the same page.

Board members need to adhere to a strict or, to some degree, a higher code of conduct. This requires transparency and accountability.

A good board governance training programme supports that. It ensures that all board members are aware of their roles and responsibilities, and places everyone on the same page when it comes to using “reasonable care, skill and diligence” (UK Companies Act 2006). By equipping members with a collective understanding of their duties, it provides a working foundation for which boards can build and stand on.

2.) It helps protect directors from legal liabilities.

Directors must have all the information they need to perform their duties effectively. But they also must be aware of their legal liabilities.

To put this section into context, limited companies are a separate legal entity from those that own or manage it. It’s usually very difficult for any party to “pierce the corporate veil” and make claims against directors. However, there has been an increasing number of scenarios where board members have been subject to legal liabilities (e.g. due to negligence, wrongful conduct, etc.)

Governance training programmes equip directors with an understanding of the legal issues they may face. As directors are made aware about these, they’re better able to perform their functions more judiciously. They can mitigate legal risk(s).

3.) It enhances board effectiveness.

Today’s dynamic business environment requires that board members stay informed about the latest corporate practices, trends, and developments. A good governance training program will identify and present these issues. Through these programmes, boards assume a proactive stance when it comes to risk, opportunity, and strategic assessments whilst ensuring compliance. They help boards craft “forward-looking”, impactful meeting agendas.

Information is key. Training programmes provide boards with the education and context they need to make better decisions and be more conversant when it comes to governance trends.

4.) It helps attract and retain board talent.

Effective board members are committed to their professional development and continuous improvement. Board governance training is a concrete way of showing that the organisation is investing in their talent and growth. It also fosters a sense of loyalty to the organisation and becomes an effective way to increase board engagement levels.

WHAT TO LOOK FOR IN A BOARD GOVERNANCE TRAINING PROGRAMME

1.) Diversity of Thought

Look for programmes that offer diversity of thought from alumni, faculty, and invited speakers. Ideally, they should represent various sectors and operate from different board structures so new approaches, board dynamics, and experiences can be introduced. This can greatly impact the value one derives from the governance training programme.

2.) Practicality

Directors must be able to apply the theoretical concepts learned and translate these into practical application or action. It simply isn’t sufficient to read, discuss, or debate governance issues. Look for programmes that offer (real-world) simulations or examples in a controlled, coachable environment.

In short —

Board governance training programmes optimise boards.

They provide additional skills and knowledge that board members need to make the best decisions for the company. They should be an integral part of any organisation’s strategy for effective leadership.

Poor board composition, low engagement levels, faltering board dynamics and values can cause reputational, financial, and operational damage to the organisation. Board governance training programmes help mitigate that risk by bringing curiosity, awareness, and strategic vision to the boardroom table.

————

Boardlogic board software helps directors work with maximum efficiency and effectiveness.
